Constitution
ARTICLE I: Name
The Club shall be known as the Westchester Retriever Club, Inc.
ARTICLE II: Purpose
Section 1
The purposes of this club shall be:
1. To stimulate interest in the training of retrievers
for hunting and field trial work.
2. To encourage the conservation of wild life through
the use of properly trained retrievers.
3. To encourage the members to perfect, by selective
breeding, retrievers most suitable for such work.
4. To conduct sanctioned and licensed field trials
according to AKC regulations.
Section 2
The Club shall not be conducted or operated for profit and no part of any profits or remainder or residue from dues or donations to the Club shall inure to the benefit of any member or individual.
Section 3
Members of the Club shall adopt and may from time to time revise such Constitution and By-Laws as may be required to carryout these purposes.
BY-LAWS
ARTICLE I: Membership
Section 1
Membership in this Club shall be in one of two
classes:
Active and Honorary. Active members may be individual
or family.
Section 2
Any person in good standing with the American Kennel Club shall be eligible for membership. Each application for membership endorsed for acceptance by a member in good standing shall be submitted to the Secretary together with one-year's dues.
Section 3
Resignation from membership must be in
writing. Members in arrears (dues not paid after 90 days)
may be dropped from the roll for non-payment of dues at the
discretion of the directors.

Section 4
Any member may be expelled or suspended from membership in this Club by a two-thirds vote of the board of directors for any conduct which is inimical to the objectives or best interests of the Club or its members; but no member shall be suspended until he has been duly informed in writing of the charge against him and has had reasonable time and opportunity to reply in his own defense.
Section 5
An honorary member shall be recommended to the Club by the Board of Directors and accepted as such by a affirmative vote of those members present. He shall be entitled to all the privileges of active members except the right to vote and hold office. He shall be exempt from payment of dues.
Section 6
New members should receive a copy of the Constitution and By-Laws, and a welcoming letter describing the policy governing use of club properties for personal training.
ARTICLE II: Dues
Section 1
The annual dues shall be determined by the Directors. The Directors shall advise the Treasurer of any change in the amount of dues by the first of January.
Section 2
The annual dues are due and payable on January 30th.
Section 3
Members joining the Club after September 1 shall not be required to pay dues for the following year.
ARTICLE 111: Directors
Section 1
BOARD OF DIRECTORS: The Board shall be comprised of the President, Vice President, Secretary, and Treasurer, plus three persons elected from the membership or four persons from the membership if the Secretary-Treasurer exists as a single individual.
Section 2
The general management of the Club's affairs
shall be entrusted to the Board of Directors
ARTICLE IV: Officers
Section 1
The officers of the Club shall be a President,
a Vice
President, a Secretary, and a Treasurer. The offices of
Secretary and Treasurer may be combined in one person.
Section 2 - Duties
The President: shall perform duties of his office and have supervision on such matters as may be delegated to him by the Club. He shall call special meetings as provided in Article VI, Section 4, of the By-Laws. The President is entitled to vote on all matters on which the Club may vote.
He shall appoint a nominating committee consisting of a chairman selected from the Board of Directors and two other members in good standing.
Vice President: shall have the duty and full authority, except as may be limited by the Board of Directors, to arrange for and manage any field activities on behalf of the Club. He shall appoint a field trial committee to assist him.
Secretary: shall perform the usual duties of the office subject to the control of the President and the Board of Directors. He shall have charge of all correspondence and files of the Club and shall keep the minutes of the meetings of the Club. He shall notify all new members of their election to membership, keep a roll of all Club members, and advise members of meetings at least one week in advance of such meetings.
Treasurer: shall receive and safely keep all funds of the Club and pay out the same on the order of the President or the First Vice President. He shall report the condition of the Club's finances at each meeting. He shall make an annual report on all receipts an disbursements. He shall notify all Club members of their indebtedness to the Club and endeavor to collect the same before reporting those members as delinquent.
ARTICLE V: Election of Officers
Section 1
All Officers and Directors shall be elected at the annual meeting and shall assume office at the close of that meeting.
Section 2
No member shall be eligible to office who has
not been a member in good standing of the Club for one
year.

Section 3
No member shall hold the office of President or Vice President more than twice in succession and filling an unexpired term shall in this regard, not be considered as a term in office.
Section 4
Any elective office of the Club that shall become vacant by resignation or undue absence shall be filled by the Board of Directors and such person shall hold office for the balance of the unexpired term.
ARTICLE VI: Meetings and Quorum
Section 1
A minimum of two meetings shall be held each year.
Section 2
The annual meeting shall be held in November or December.
Section 3
At the annual meeting, the Club shall elect from its members in good standing, the Officers, who shall hold their respective offices for one year and the Directors, other than Officers, who shall be elected for two years or until their successors are elected.
Section 4
special meetings may be called by the President or on written application of seven members, the President shall call such a meeting.
Section 5
Eleven active members shall constitute a quorum for the transaction of any business.
Section 6
The affirmative vote of a majority of the members present and voting at any meeting at which there shall be a quorum shall be necessary and sufficient to adopt any resolution.
ARTICLE VII: Committees
Section 1
The President shall be impowered to
appoint such special committees as he deems
needful at any time, or on the majority vote of the members
at any meeting, he shall appoint such committees as
they direct.

The nominating committee shall select a slate of Officers and Directors and submit it to the President in sufficient time to insure that all members be advised of this slate in conjunction with the mailing of the notice of the annual meeting. Notice of the annual meeting plus agenda should be mailed a minimum of two weeks before the event.
Section 3
The field trial committee shall assist the Vice President in planning and organizing the field activities.
ARTICLE VIII: Amendment
Any Proposed alteration, amendment or repeal of any article of the Constitution or these By-Laws may be proposed by the Board of Directors or by written petition to the Secretary signed by at least seven members in good standing. After being read by the Secretary at any regular meeting, the proposed alteration, amendment or repeal must be laid upon the table until the next regular meeting. A two-thirds vote in the affirmative by all members present at this meeting shall be necessary to authorize such alteration, amendment or repeal
ARTICLE IX: Suspension of By-laws
These By-Laws may be suspended in case of emergency by unanimous vote of all those present at a meeting at which a quorum is present.
ARTICLE X: Dissolution
The Club may be dissolved at any time by the
written consent of not less than two-thirds of the members.
In the event of dissolution of the Club, whether voluntary
or involuntary or by the operation of law, none of the
property of the Club nor any proceeds thereof nor any assets
of the Club shall be distributed to any members of the Club,
but after payment of the debts of the Club, its property and
assets shall be given to Ducks Unlimited, Inc., if existing;
if not, to a charitable organization for the benefit of dogs
as chosen by the Board of Directors.
